By accessing or using ScoutVista ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

ScoutVista is operated by ScoutVista ("we", "us", or "our"). These Terms govern your access to and use of the Service, including any content, functionality, and services offered on or through scoutvista.org.

2. Description of Service

ScoutVista provides a signal analysis platform that identifies hiring and growth signals within the life sciences industry. The Service analyses publicly available information and delivers curated insights to registered users.

The Service is provided on an "as available" basis. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice.

3. User Accounts and Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account.

We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, false, or misleading.

5. Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, and the design, selection, and arrangement thereof) are owned by ScoutVista, its licensors, or other providers of such material and are protected by copyright, trade mark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your personal or internal business purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service without our prior written consent.

6. User Data and Privacy

We collect, use, and share your personal data in accordance with our Privacy Notice. By using the Service, you consent to our collection and use of your data as described in the Privacy Notice.

To the fullest extent permitted by applicable law, ScoutVista shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorised access, use, or alteration of your transmissions or content

Our total liability for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us, if any, in the twelve months prior to the event giving rise to the liability.

8. Indemnification

You agree to defend, indemnify, and hold harmless ScoutVista and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Service.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

You may terminate your account at any time by contacting us at contact@scoutvista.org or by using the account deletion functionality within the Service. Upon termination, your right to use the Service will immediately cease.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service prior to the effective date of the changes.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
